AI arrived in data rooms the way it arrived in most business software: first as search, then as summaries, then as drafting. For deal teams the appeal is time. A room with eight thousand files takes days to index by hand, and the last week before bids is mostly spent answering questions that the documents already answer. AI can shorten both.

It also adds a new question to every security review. A feature that reads documents has to send their text somewhere to be processed. Where that happens, which model provider is involved, and whether anything is kept or used for training are now standard questions for a data room vendor, alongside encryption and certificates.

Ask before switching AI on for a live deal

  • Where is document text processed, and by which model provider?
  • Is any customer content, prompt or output used to train models?
  • How long are prompts and outputs kept, and can we delete them?
  • Can admins switch AI off per room or per user group?
  • Do AI searches respect each user's view permissions?
  • Are AI actions recorded in the audit trail?
  • Is AI included in our tier, or priced as an add-on?

Limits of AI in a data room

The gain grows with the size of the room. On a sale with a few hundred documents and one buyer, an experienced admin can build the index in an afternoon, and reviewers read everything anyway. On a portfolio sale or a carve-out with thousands of files and a dozen bidders, automatic indexing and cross-document search start to pay for themselves in the first week.

AI is weakest where judgment matters most: whether a clause is a problem in this deal, or whether an answer to a buyer gives away more than it should. Treat summaries as a reading aid and drafted answers as drafts. The person who publishes an answer to a bidder is still responsible for it.

Should AI replace a human review of the documents?

No. Use AI to triage and to speed up search and drafting. Advisers still read the key documents and sign off on findings and on every published Q&A answer.
