Enterprise buyers judge a data room through procurement and IT before a deal team ever logs in. The questions are about identity management, certificates, integration and support commitments: can the room plug into single sign-on, is there an API for automation, will the vendor sign the security addendum, and who answers the phone at 2 a.m. before a bid deadline.
Data protection and the diligence toolkit carry 30% each, deal support 22%, and checklist breadth the rest. Bonuses go to ISO 27001, single sign-on, a public API and an enterprise focus in the vendor's positioning.

Buyer's notes
Procurement comes first
Expect a security questionnaire, a data processing agreement, sub-processor lists and insurance certificates before contract. Vendors used to enterprise buyers have these ready; ask for them on the first call to avoid a two-week delay later.
Identity and lifecycle
Single sign-on lets your own staff log in with corporate credentials and lose access when they leave. Outside parties will still need invitations, so check how the room handles guests alongside SSO users.
Framework agreements
Corporates that run several transactions a year often agree a master contract with one or two vendors. That brings pricing predictability and a familiar interface for the deal team, at the cost of some flexibility per deal.
On our enterprise weighting Ellty ranks first, with iDeals, Datasite and Intralinks next. The highest places go to rooms that combine ISO 27001, SOC 2, single sign-on and deep support.
Do enterprise data rooms support single sign-on?
Several do, including iDeals, Datasite, Intralinks, Ansarada, Box and ShareFile among the providers we track. Check whether SSO is included in your tier or sold as an add-on.
Can a data room integrate with our document systems?
Providers with a public API, such as iDeals, Box and CapLinked in our facts, can be wired into internal workflows. Ask for API documentation and rate limits before you plan an integration.
How long does enterprise procurement for a data room take?
Anything from a few days to several weeks, depending on your security review. Vendors with ready-made questionnaire answers and standard data processing terms move fastest.
