Deck tracking is not diligence
Document-tracking tools are excellent for the outreach phase: send a link, see time spent per page. They usually lack Q&A, redaction and granular folder permissions, which you will want once a lead investor and its lawyers arrive. Decide whether you will switch tools at term sheet or use one room for both phases.
What investors expect to find
A tidy index: corporate documents, cap table and option plan, financials and forecasts, key commercial contracts, IP assignments, employment templates and board minutes. A room that lets you upload a folder tree in one go and number it automatically saves an afternoon.
Keep the room after the round
Many companies keep the same room as an investor portal for board packs and quarterly updates. Check what the monthly price is once the round closes and whether you can archive the diligence folders while keeping the portal live.
Once a lead investor starts diligence, a structured room with permissions and an audit trail is the norm. Before that, a tracked link to the deck is often enough.
