Redaction inside the room
Redacting before upload works, but it creates two versions to manage. A room with native redaction keeps the original under tighter access and logs who applied each redaction. For privilege reviews and personal data, that record is useful.
Billing it to the client
Firms often open a room per matter and pass the cost through. Flat or per-room pricing is easier to explain on an invoice than page-based billing. Ask whether the vendor can invoice per matter.
Records at the end
Agree the archive format at the start: a read-only copy with the audit log, delivered on encrypted media or as a download. Retention rules for the firm and the client both apply.
Large firms commonly work in rooms chosen by the client or the bank, often iDeals, Datasite or Intralinks. For rooms the firm opens itself, providers with redaction, audit trails and fast setup rank well on this list.
Can a data room be used for litigation document exchange?
Yes. Permission groups per party, view-only modes and a complete audit trail make a data room a controlled way to exchange documents with opposing counsel or experts.
Is redaction in a data room permanent?
In rooms with native redaction, the redacted version is what reviewers see while the original stays restricted. Confirm with the vendor how redactions are applied and whether they can be reversed by an admin.
Do law firms need SOC 2 or ISO 27001 from a data room vendor?
Many firm and client security policies ask for one or both. The providers in this list publish at least SOC 2; several also hold ISO 27001.
