The shared ground: protecting the file itself
On control of individual documents, the two overlap well. Both list audit trail, dynamic watermarking, bulk folder upload and document rights (view, print, download). That is the set that answers "what happens after someone opens it": stamps carry the reader's identity, rights settings block printing or downloading where needed, and the log shows each view. For a founder sending a financial model to a few funds, that covers most of the risk.
What a deal adds on top
A diligence process brings structure that a sharing tool does not attempt. Ellty lists buyer Q&A, e-signature, two-step login and AI features; Digify lists none of these in our facts file. Q&A is the one most teams feel first: once ten or twenty reviewers are asking for clarifications, an inbox stops working.
